Re: TAGORE and other films

To Whom It May Concern:

We are the attorneys for IMAGILIGHT ENTERTAINMENTS, INC. ("IMAGILIGHT"), formerly MENTORVISION INC. IMAGILIGHT is in the business of owning and distributing Indian films in theatres and on digital versatile disc ("DVD") format. KAD ENTERTAINMENT USA is one of the major brand names under which IMAGILIGHT distributes its products.

IMAGILIGHT has acquired the sole and exclusive rights to exhibit and distribute the film "TAGORE" in theatres and on DVD format. IMAGILIGHT , therefore, is the only company that may legally "master" or order the replication of "TAGORE" for home entertainment distribution.

This film will be available only for exhibition in authorized cinema halls, commencing on or about September 24, 2003, and will not be released in the United States or Canada by IMAGILIGHT on DVD format for at least two (2) months after the film's release in theatres. Any person or store renting or selling pirated videotapes or DVD's of "TAGORE" will be subject to severe criminal and civil penalties.

As many of you know, there are people and companies trying to make a profit by replicating and distributing "pirated" versions of Indian films. IMAGILIGHT loses money every time an IMAGILIGHT film is illegally replicated and sold. IMAGILIGHT also loses theater revenues from illegal VHS cassettes and DVD's released prematurely in the market, shortly after the theater release; and, IMAGILIGHT loses anticipated revenues on its sale of DVD's. IMAGILIGHT will not tolerate the illegal reproduction and distribution of their films and will seek to recover damages for infringement of their copyrights and loss of revenues for the sale of unauthorized copies of "TAGORE" in videocassette and DVD format.

As you have been informed on more than one occasion by our prior notices, all unauthorized VHS cassettes and DVDs containing counterfeit copies of motion pictures are illegal and subject the retailer that sells such products to criminal and civil penalties.

PLEASE BE ADVISED, that we have been instructed to commence legal proceedings on behalf of IMAGILIGHT seeking criminal, injunctive and/or monetary relief, including a claim for attorneys' fees and costs, against anyone who:

Imports into the United States, manufactures, distributes, transports, receives, sells, or offers for sale, rents, duplicates, reproduces, or otherwise deals without authorization in, the film for which our client, IMAGILIGHT, possesses the exclusive distribution and reproduction rights.

PLEASE BE FURTHER ADVISED, that each 35mm print of the film "TAGORE" given for exhibition in the theatres has been marked with a special number/code so that we are able to track the source of any illegal replication and distribution.

If you are supplying, selling, renting, or otherwise distributing, or planning to order, supply, sell/rent or distribute unauthorized videocassettes and DVD's of "TAGORE", I request that you immediately refrain from doing so, and, ensure that any copies ordered, replicated or distributed to date, are removed from the marketplace. Otherwise, you and your store will be held liable for the sale of such infringing videocassettes, and DVDs.

As I am sure you know, "innocence", is no defense to liability for copyright infringement under the U.S. copyright Act.

If you have any questions or suspicions that a product being offered to you is counterfeit, please forward me a copy of the product together with the name and address of the party offering the product to you and I will immediately investigate the matter. APPENDIX A lists some of the new films whose copyright is owned by IMAGILIGHT and which shall be released in theatres and on DVD by IMAGILIGHT in the near future.

APPENDIX B lists some of the films whose copyright is owned by IMAGILIGHT and which have already been released on DVD by IMAGILIGHT recently.
